Terms of Service
Last updated: 27 October 2026
RapiTalk is operated by Sabyasachi Panigrahi, proprietor of RAPITALK (a sole proprietorship; Udyam Registration No. UDYAM-CG-12-0030928), 132, Jagat Vihar Colony, Ward No. 27, Mahasamund, Chhattisgarh 493445, India. In these terms "RapiTalk", "we" and "us" mean Sabyasachi Panigrahi trading as RAPITALK; "you" means the person or business that uses RapiTalk, and the person who accepts these terms on its behalf confirms they may bind it.
By creating an account, ticking "I agree" or using RapiTalk you accept these terms, the Privacy Policy, the Acceptable Use Policy, the Data Processing Agreement and the Refund and Cancellation Policy, which form part of these terms. If you do not agree, do not use RapiTalk.
1. Who may use RapiTalk
- You must be 18 or older and able to enter a binding contract. RapiTalk is a business tool; it is not offered to consumers for personal or household use.
- Give true information and keep it up to date. One person per account; do not share sign-in details.
- You are responsible for your account, everyone you invite to your workspaces, and everything done in them. Tell us at once about any unauthorised use.
2. The service
RapiTalk lets you connect messaging channels, build automations, manage conversations, send campaigns and use optional AI features. Features and limits depend on your plan. We may improve, change or stop features; if we remove something material from a paid plan, we will tell you in advance and you may cancel. Free plans and features marked beta are provided as they are.
3. Third-party platforms
Instagram, Facebook Messenger, WhatsApp (Meta), Telegram, email providers and SMS operators are run by others under their own terms and policies. You must follow them, including Meta's Platform Terms, WhatsApp Business and Commerce Policies, the 24-hour messaging windows and template rules, and India's TRAI rules (DLT registration) for SMS. These platforms may change, limit or switch off features or your access at any time; RapiTalk is not responsible for their decisions, outages or charges (for example Meta's WhatsApp fees, which you pay to Meta).
4. Your responsibilities toward the people you message
- For your contacts' personal data you are the Data Fiduciary (controller) and we are your Data Processor. You must give them any notice the law requires, have their consent or another lawful basis, honour their requests (access, correction, erasure, withdrawal of consent) and keep opt-outs.
- Message only people who contacted you or agreed to hear from you. Respect STOP and similar opt-out messages (RapiTalk records them automatically).
- Follow the laws that apply to your messages wherever your contacts are: in India the DPDP Act 2023, the IT Act 2000, the Consumer Protection Act 2019 and TRAI regulations; elsewhere for example the EU/UK GDPR and ePrivacy rules, the US TCPA and CAN-SPAM Act and state laws.
- If you use AI steps, keep the AI disclosure switched on where the law requires people to know they are talking to an AI (for example the EU AI Act), and check what your automations send.
- Do not use RapiTalk to collect sensitive data you are not allowed to process (for example card numbers, passwords, health data without a lawful basis) or to message children without a parent's verifiable consent where required.
5. Acceptable use
Follow the Acceptable Use Policy. In short: no spam, fraud, harassment, unlawful, obscene or harmful content, no impersonation, no malware, and no attempts to break, overload, copy or reverse-engineer the service. We may remove content, pause campaigns or automations, or suspend accounts that break these rules, harm others, or put the service or our standing with messaging platforms at risk. Where reasonable we warn you first.
6. Plans, payments and taxes
- Paid plans are billed in advance, monthly or yearly, through Cashfree Payments (card, UPI AutoPay or bank e-mandate). GST is added as the law requires and shown on your invoice.
- Your bank or UPI app notifies you before each automatic debit. If a payment fails, the plan stays active for a grace period, then moves to Free; your data is kept.
- Usage beyond a limit does not create surprise charges: new automation runs wait until the next period, a pack or an upgrade.
- We may change prices for future periods with at least 30 days' notice; the change applies from your next renewal and you may cancel before it.
- Cancellations and refunds follow the Refund and Cancellation Policy.
7. Your data and our licence
You own the content and data you put into RapiTalk. You give us a limited licence to host, process and transmit it only to provide and secure the service for you, as described in the Privacy Policy and the Data Processing Agreement. You can export your data and delete it at any time. After your account or workspace is deleted, we erase the data as the Privacy Policy describes.
We may use anonymous, aggregated statistics (that cannot identify you, your business or any person) to run and improve RapiTalk.
8. AI features
AI output is generated automatically and may be inaccurate, incomplete or inappropriate. You decide whether and how to use AI steps and are responsible for what your automations send. Do not rely on AI output for legal, medical, financial or other professional advice. AI features use credits as your plan describes.
9. Our intellectual property
RapiTalk, its software, design, logos and documentation belong to us or our licensors. These terms give you a non-exclusive, non-transferable right to use RapiTalk during your subscription; they do not transfer any ownership. Feedback you send us may be used freely.
10. Availability and support
We work to keep RapiTalk available, secure and backed up, but we do not promise it will be uninterrupted or error-free. Planned maintenance is announced where possible. Enterprise customers may agree a service level in writing.
11. Disclaimers
Except as these terms expressly say, RapiTalk is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We are not responsible for results you expect from your automations or campaigns, or for the acts of messaging platforms, payment providers or your contacts.
12. Limitation of liability
To the extent the law allows: (a) neither side is liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue, goodwill or data; and (b) our total liability for all claims in any 12 months is limited to the fees you paid us for RapiTalk in the 3 months before the event giving rise to the claim (or INR 1,000 if you paid nothing). These limits do not apply to liability that cannot be limited by law, such as fraud or death or personal injury caused by negligence.
13. Indemnity
You will defend and compensate us, our proprietor and staff against claims, penalties, losses and reasonable costs (including legal fees) arising from your content, your messages and campaigns, your breach of these terms or of law (including data protection and messaging laws), or your contacts' claims about how you used their data, except to the extent caused by our own breach.
14. Suspension and termination
- You can stop using RapiTalk and delete your account at any time (Account > Delete my account).
- We may suspend or close accounts that break these terms or the law, do not pay, or put others at risk. Where the law or a platform requires immediate action we may act first and tell you after.
- On termination your right to use RapiTalk ends; you can export your data for 30 days before it is erased, except where the law requires otherwise. Sections 7, 11, 12, 13, 16 and 17 continue after termination.
15. Force majeure
Neither side is responsible for delays or failures caused by events beyond reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or failures of messaging platforms or hosting providers. Payment obligations for service already provided are not excused.
16. Governing law and disputes
These terms are governed by the laws of India. Please first write to us at support@rapitalk.com; most problems are solved quickly that way. A dispute not resolved within 30 days will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement (or under that Act), seated in Raipur, Chhattisgarh, in English. Subject to arbitration, the courts at Raipur, Chhattisgarh have exclusive jurisdiction. Either side may seek urgent interim relief from a competent court. Nothing here removes rights you have under consumer-protection or data-protection laws that cannot be waived, including complaints to the Data Protection Board of India.
17. General
- These terms, with the documents linked above and any order form you sign, are the whole agreement about RapiTalk. If a provision is invalid, the rest stays in force.
- You may not transfer your account or these terms without our written consent; we may transfer them to a successor of the business, with notice to you.
- Not enforcing a right is not a waiver of it. Notices to you go to your account email; notices to us go to support@rapitalk.com and the address below.
- We may change these terms. We give at least 15 days' notice of material changes by email or in the app and ask signed-in users to accept the new version; if you do not agree you may cancel before the change takes effect.
